Terms of Service
1. Introduction and Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of RokSpark.com (the "Platform"), including our website, mobile apps, courses, content, and related services (collectively, the "Services").
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services. We may update these Terms periodically; continued use constitutes acceptance of changes. We will notify you of material changes where required by law.
2. Definitions
- "Content" means courses, videos, materials, text, images, etc., including AI-Generated Content.
- "AI-Generated Content" means lesson plans, modules, activities, assessments, coaching responses (from our AI assistant, Lux), and other material generated with the assistance of artificial intelligence.
- "User Content" means any content you upload, post, or submit.
- "Educator" means users who create or offer courses.
- "Learner" means users accessing courses.
- "Organization" means a company, school, or other entity with its own Organization Account, and "Org Owner" or "Admin" means users authorized to manage an Organization's account, members, and billing.
- "Credits" means the pre-paid, dollar-denominated balance usable to pay for AI-assisted features on the Platform, as described in Section 9.
3. Eligibility and Accounts
You must be at least 13 years old (or the age of majority in your jurisdiction) to use the Services. Parents/guardians may create accounts for minors under their supervision, subject to additional rules.
You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized use.
4. Services and Course Access
The Platform provides online educational courses and materials. Course content is provided "as is" for general educational purposes only. It does not constitute professional, legal, medical, or financial advice.
Access to paid courses is granted as a limited, non-exclusive, non-transferable, revocable license for your personal, non-commercial educational use during the permitted period. You may not download, copy, share, resell, or distribute course content except as expressly allowed. Certificates or completions (if offered) are for informational purposes and do not guarantee employment, skills mastery, or accreditation unless explicitly stated.
Course visibility and access control. A course you create defaults to public visibility, meaning it may be discoverable and accessible to any user of the Platform. Restricting a course to your organization only or to invited users only ("Private" or "Organization" visibility) requires an active paid subscription associated with your account or organization, as described in Section 9. If your subscription lapses or is not renewed, a course previously restricted may revert to public visibility. If you or your organization intend to keep course content confidential, you are responsible for maintaining an active subscription; we recommend reviewing your course visibility settings regularly.
AI-Generated Content. Portions of course content, coaching responses, and assessment feedback are generated using artificial intelligence and may contain errors, omissions, or inaccuracies. AI-Generated Content is provided for educational purposes only and should not be relied upon as a substitute for professional judgment. See Section 11 for additional disclaimers.
5. Organization Accounts
If you use the Services on behalf of an Organization (for example, as an employer-sponsored or school-sponsored learner, or as an Org Owner/Admin), the following additional terms apply:
- The individual who creates an Organization Account, and any Admins they designate, are authorized to manage the Organization's subscription, billing, seats, and member roles, and to access usage and progress data for Learners within that Organization.
- Organization subscriptions are billed per seat, with pricing tiers and minimum seat counts as shown on our pricing page. Organization course licenses may be purchased to grant all members of an Organization access to a specific course, priced based on the Organization's size as shown at checkout.
- An Organization may maintain a shared Credits balance usable by its members for AI-assisted features, subject to the Organization's internal policies for allocating that balance, which we are not responsible for administering beyond providing the balance and transaction records.
- By accepting an invitation to join an Organization, you acknowledge that your course activity and progress within that Organization's courses may be visible to that Organization's Admins and Educators, as described in our Privacy Policy.
6. User Content and Conduct
You retain ownership of your User Content but grant us a worldwide, royalty-free, perpetual license to host, display, use, and distribute it as needed for the Platform.
You warrant that your User Content does not infringe third-party rights and complies with applicable laws.
Prohibited Conduct includes (but is not limited to):
- Uploading harmful, illegal, infringing, or offensive material.
- Harassing other users or Educators.
- Cheating, sharing answers, or circumventing course restrictions.
- Reverse engineering the Platform or using automated tools (scraping, bots).
- Violating intellectual property or privacy rights.
We may remove User Content and suspend/terminate accounts for violations.
7. Intellectual Property
All Platform content, design, logos, and software (except User Content) are owned by Rokmetro, Inc. or its licensors. You have no right to use them outside the limited license granted. Educators retain ownership of their course content subject to the licenses granted to us and Learners.
AI-Generated Content. As between you and us, AI-Generated Content created within your course or account is treated the same as other course content you author — you may use and license it as part of your course subject to the same terms as your other course content. We do not claim separate ownership of AI-Generated Content beyond the license granted in Section 6.
8. Educator Compensation and Payouts
If you offer paid courses as an Educator, the following terms apply in addition to Section 4:
- You must complete onboarding with our payment processing partner (currently Stripe, via Stripe Connect) before you can receive payouts. You are responsible for providing accurate information to that processor and for complying with its terms.
- We retain a share of course revenue as our platform fee; the revenue share applicable to your account is disclosed in your Educator dashboard and/or your educator agreement, and may be updated by us from time to time with reasonable notice as described in Section 1.
- Payout timing and methods are determined by our payment processor's standard schedule and are subject to that processor's terms, holds, and verification requirements.
- You are solely responsible for determining and remitting any taxes owed on amounts you receive, and for any tax reporting obligations applicable to you (for example, forms issued to you by our payment processor).
- We do not guarantee any minimum level of course sales, enrollments, or earnings.
9. Payments, Refunds, and Subscriptions
We provide online educational content, courses, materials, videos, worksheets, quizzes, and related resources. Services are offered in the following models:
- One-Time Purchases: You pay a one-time fee for 6 month access to specific courses or materials.
- Subscription Plans: You pay recurring fees (monthly, quarterly, or annually) for ongoing access to a library of content, new releases, or premium features during the active subscription period. Organization subscriptions are billed per seat.
- Credits: You may purchase Credits, a pre-paid balance used to pay for AI-assisted features (such as Lux coaching and AI-generated content). Credits may also be granted to you as part of a subscription plan or promotional trial. Credits are non-refundable except as required by law and do not expire unless stated at the time of purchase.
- Organization Course Licenses: An Organization may purchase access to a specific course for all or a portion of its members, priced based on the Organization's size as shown at checkout.
All access is subject to these Terms and any specific plan details listed on the pricing page.
Refunds. Subscription plan changes (upgrades/downgrades) are billed or credited on a prorated basis automatically. Otherwise, purchases are non-refundable except where required by applicable law or where we determine, in our discretion, that a refund is warranted (for example, a billing error). To request a refund, contact us using the details in Section 17.
We use third-party payment processors; their terms also apply. You are responsible for applicable taxes. Prices may change with notice.
10. Termination
We may suspend or terminate your access for violations, non-payment, or other reasons at our discretion. You may cancel your account at any time, but no refunds for partial periods except as described in Section 9.
11. Disclaimers and "AS IS" Provision
The Services and Content are provided "AS IS" and "AS AVAILABLE" without warranties of any kind. We do not warrant accuracy, completeness, timeliness, or results from using the Content. Educational outcomes vary by individual effort and are not guaranteed.
AI-Generated Content is not verified for accuracy. Lux and other AI features may produce incorrect, incomplete, or outdated information, including in coaching responses, generated lesson content, and assessment feedback. You should independently verify any information you rely on for professional, academic, or other consequential decisions.
12. Limitation of Liability
To the fullest extent permitted by law, Rokmetro, Inc. shall not be liable for indirect, incidental, consequential, special, or punitive damages (including lost profits, data loss, or educational outcomes). Our total liability shall not exceed the amounts you paid us in the 12 months preceding the claim (or $100 if no payment was made).
13. Indemnification
You agree to indemnify and hold us harmless from claims arising from your use of the Services, User Content, or violations of these Terms.
14. Copyright Complaints (DMCA)
If you believe content on the Platform infringes your copyright, please send a written notice to our designated agent that includes: (a) identification of the copyrighted work claimed to be infringed; (b) identification of the material you claim is infringing, with enough detail for us to locate it; (c) your contact information; (d) a statement that you have a good-faith belief the use is not authorized; (e) a statement, under penalty of perjury, that the notice is accurate and you are authorized to act on behalf of the copyright owner; and (f) your physical or electronic signature.

We will respond to valid notices in accordance with applicable law, which may include removing or disabling access to the reported material and notifying the user who posted it.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Illinois, USA, without regard to conflict of laws principles. Disputes shall be resolved exclusively in arbitration located in Chicago, Illinois. You waive class actions where permitted.
16. Privacy
Our Privacy Policy explains how we collect and use data. It is incorporated by reference.
17. Miscellaneous
- Severability: Invalid provisions do not affect the rest.
- No waiver of rights unless in writing.
- Entire agreement: These Terms supersede prior agreements.
